<p>En nuestro trabajo con líderes sénior, hemos observado este patrón en distintas industrias y estructuras de propiedad. Si su junta directiva está actuando como un equipo operativo, usted enfrenta un doble reto: recuperar la confianza de su equipo de liderazgo ejecutivo (ELT, por sus siglas en inglés), mientras realinea la forma en que trabaja con su junta. He aquí tres formas de lograr ambos objetivos, sin escalar la tensión ni ralentizar aún más la ejecución.</p>
<p><strong>1. Diagnostique qué está tratando de resolver la junta directiva, no solo lo que está haciendo</strong></p>
<p>Cuando las juntas directivas pierden la confianza en la gestión de la empresa, tienden a compensarlo acercándose más al trabajo operativo. Según la<span> </span><span style="color: #0c71c3;"><a href="https://www.pwc.com/us/en/services/governance-insights-center/library/assets/pwc-trust-gic-csuite.pdf" rel="nofollow" style="color: #0c71c3;">encuesta de PwC sobre la eficacia de las juntas directivas en 2025</a></span>, los ejecutivos señalan que ahora la participación de la junta en temas de nivel operativo es aproximadamente el doble que hace algunos años.</p>
<p>Cuando los miembros de la junta directiva se acercan a la ejecución, los CEOs suelen querer abordar ese comportamiento de manera directa. Pero la verdadera ventaja viene de comprender qué está impulsando ese comportamiento. Con mayor frecuencia, estas acciones reflejan presión, incertidumbre o falta de información, más que un deseo de<span> </span><span style="color: #0c71c3;"><a href="https://hbr.org/2025/01/how-the-best-boards-engage-with-management" rel="nofollow" style="color: #0c71c3;">microgestionar</a></span>. En nuestra experiencia, existen tres factores que aparecen más a menudo:</p>
<p>— Falta de claridad: La junta no está segura de tener una visión precisa de los riesgos, las prioridades o los avances.</p>

<p>— Identifique los puntos de presión de la junta. <p>Una vez que comprenda qué está impulsando el comportamiento de su junta, estará en mejor posición para realinear la comprensión compartida de su equipo de liderazgo ejecutivo antes de interactuar directamente con la junta directiva.</p>
<p><strong>2. Redefina cómo se toman las decisiones al alinear primero a su equipo de liderazgo</strong></p>
<p>Cuando no se resuelven las dinámicas de la junta directiva, el efecto inmediato es la duda y una toma de decisiones más lenta. Los líderes se sienten<span> </span><span style="color: #0c71c3;"><a href="https://hbr.org/2016/02/why-decisions-get-second-guessed-and-what-to-do-about-it" rel="nofollow" style="color: #0c71c3;">cuestionados</a></span>, sin claridad sobre qué decisiones realmente están facultados para tomar.</p>
<p>Dado que estas dinámicas suelen revelar ambigüedades internas en el equipo de liderazgo ejecutivo, la realineación debe comenzar ahí. La incertidumbre puede diluir la rendición de cuentas y frenar la ejecución, incluso antes de que la junta directiva tome cualquier decisión formal.</p>
<p>Para restablecer la relación con la junta directiva primero se debe restaurar la claridad dentro del equipo de liderazgo ejecutivo.</p>
<p>Para<span> </span><span style="color: #0c71c3;"><a href="https://www.researchgate.net/publication/221809250_The_Shared_Leadership_Process_in_Decision-Making_Teams" rel="nofollow" style="color: #0c71c3;">diseñar junto con su equipo</a></span><span> </span>la forma en que se toman las decisiones y sentar las bases de un reajuste productivo con la junta directiva:</p>
<p>— Reconozca el impacto. Si el enfoque actual no está funcionando, dígalo abiertamente. Explique cómo se llegó a la dinámica actual con la junta directiva, incluyendo las presiones, los supuestos o las concesiones que la moldearon. Pregunte: ¿Qué decisiones deben recaer íntegramente en el equipo de liderazgo ejecutivo? ¿En qué casos se requiere la opinión o aprobación de la junta directiva? Después, cree una<span> </span><span style="color: #0c71c3;"><a href="https://hbr.org/2010/06/the-decision-driven-organization" rel="nofollow" style="color: #0c71c3;">matriz simple</a> </span>en la que se reflejen los casos en los que la competencia para tomar decisiones clave resulta ambigua.</p>
<p>— Haga visibles los compromisos. <p>Incluso cuando los límites de las decisiones están claramente definidos, las juntas directivas pueden acabar metiéndose en detalles operativos si no confían en cómo se identifican y gestionan los riesgos entre una reunión y otra. La investigación de la<span> </span><span style="color: #0c71c3;"><a href="https://www.pwc.com/us/en/services/governance-insights-center/library/effective-board-communication-strategy.html" rel="nofollow" style="color: #0c71c3;">Corporate Directors Survey de PwC realizada en 2024</a></span><span> </span>confirma que el 74% de los directores quiere más tiempo para la estrategia. Sin embargo, cuando no tienen visibilidad clara sobre cómo se están gestionando los<span> </span><span style="color: #0c71c3;"><a href="https://corpgov.law.harvard.edu/2025/10/08/effective-board-leadership-the-art-of-doing-it-well-and-the-risks-of-getting-it-wrong/" rel="nofollow" style="color: #0c71c3;">riesgos</a></span>, muchos lo compensan llevando las conversaciones al detalle operativo.</p>
<p>Las juntas directivas necesitan visibilidad; los equipos de liderazgo necesitan espacio para la ejecución. <p>El exceso de intervención de la junta directiva rara vez es intencional; suele ser una respuesta a la presión, la incertidumbre o la falta de información. Los líderes que identifican las causas de este comportamiento (reconstruyen la claridad con sus equipos y establecen estructuras de comunicación simples) pueden frenar esta deriva antes de que se convierta en disfunción. That pressure is reshaping how boards engage. The share of directors with CEO and operating experience is <a href="https://boardmember.com/inside-the-shifting-profile-of-fortune-500-board-appointees/" rel="nofollow"><span style="color: #0c71c3;">growing</span>,</a> and the line between governance and management is <span style="color: #0c71c3;"><a href="https://hbr.org/2026/01/how-to-handle-a-difficult-board-member" rel="nofollow" style="color: #0c71c3;">blurring</a></span> as <span style="color: #0c71c3;"><a href="https://www.mckinsey.com/capabilities/strategy-and-corporate-finance/our-insights/how-public-company-boards-can-thrive-by-adopting-private-equity-practices" rel="nofollow" style="color: #0c71c3;">private equity-style</a></span> monitoring and intervention are more widely adopted.</p>
<p style="text-align: justify;">In our work with senior leaders, we’ve observed this pattern across industries and ownership structures. If your board is acting like an operating team, you face a dual challenge: restoring confidence with your executive leadership team, or ELT, while realigning how you work with your board. Here are three ways to do both — without escalating tension or slowing execution further.</p>
<p style="text-align: justify;"><strong>DIAGNOSE WHAT THE BOARD IS SOLVING FOR, NOT JUST WHAT THEY’RE DOING</strong></p>
<p style="text-align: justify;">When boards lack confidence in how the business is being managed, they compensate by stepping closer to the work. According to <span style="color: #0c71c3;"><a href="https://www.pwc.com/us/en/services/governance-insights-center/library/assets/pwc-trust-gic-csuite.pdf" rel="nofollow" style="color: #0c71c3;">PwC’s 2025 board effectiveness survey</a></span>, executives now report board involvement in execution-level matters at roughly double the rate seen several years ago.</p>
<p style="text-align: justify;">When board members move closer to execution, CEOs tend to want to address the behavior directly. But the real leverage comes from understanding what’s driving the board’s behavior. More often, these actions reflect pressure, uncertainty or missing information rather than a desire to <span style="color: #0c71c3;"><a href="https://hbr.org/2025/01/how-the-best-boards-engage-with-management" rel="nofollow" style="color: #0c71c3;">micromanage</a></span>. In our experience, three drivers show up most often:</p>
<p style="text-align: justify;">— UNCLEAR VISIBILITY: The board is not confident it has an accurate view of risks, priorities or progress.</p>
<p style="text-align: justify;">— ROLE CONFUSION: Former operators default to “helping,” even when that involvement creates disruption.</p>
<p style="text-align: justify;">— COMMUNICATION GAPS: Irregular updates or unclear sequencing of decisions prompt board members to seek clarity elsewhere.</p>
<p style="text-align: justify;">Before addressing the behavior, slow down long enough to identify the pressure driving it:</p>
<p style="text-align: justify;">— REFLECT INDIVIDUALLY. When the board steps into the details, what are they trying to protect?</p>
<p style="text-align: justify;">— DETERMINE THE BOARD’S PRESSURE POINTS. Identify the external forces at play, such as market shifts, AI expectations, regulation changes or competitive threats and how those pressures may be landing differently with the board than with your ELT.</p>
<p style="text-align: justify;">— AUDIT YOUR COMMUNICATION RHYTHM. Look for gaps that invite overreach, such as irregular updates, unclear decision sequencing or missing context on trade-offs.</p>
<p style="text-align: justify;">Once you understand what’s driving the board’s behavior, you’re better positioned to realign your ELT’s shared understanding before engaging the board directly.</p>
<p style="text-align: justify;"><strong>RESET HOW DECISIONS ARE MADE BY ALIGNING YOUR LEADERSHIP TEAM FIRST</strong></p>
<p style="text-align: justify;">When board dynamics go unresolved, the downstream effect is hesitation and slower decision-making. Leaders feel <span style="color: #0c71c3;"><a href="https://hbr.org/2016/02/why-decisions-get-second-guessed-and-what-to-do-about-it" rel="nofollow" style="color: #0c71c3;">second-guessed</a></span>, wondering what they’re actually empowered to decide.</p>
<p style="text-align: justify;">Because board dynamics often surface lingering ambiguity inside the ELT, the realignment needs to start there. <p style="text-align: justify;">To <span style="color: #0c71c3;"><a href="https://www.researchgate.net/publication/221809250_The_Shared_Leadership_Process_in_Decision-Making_Teams" rel="nofollow" style="color: #0c71c3;">codesign</a></span> how decisions get made with your team to create the foundation for a productive reset with the board:</p>
<p style="text-align: justify;">— ACKNOWLEDGE THE IMPACT. If the current approach isn’t working, name it. Explain how the dynamic with the board came to be, including the pressures, assumptions or trade-offs that shaped it. Then acknowledge the costs — to trust, clarity or speed — and invite the team into a reset. You could say, “Our last approach didn’t land the way I intended. Let’s revisit how we make decisions so this doesn’t happen again.” This type of transparency signals respect, reduces defensiveness and helps people reengage.</p>
<p style="text-align: justify;">— CLARIFY DECISION BOUNDARIES. Work with your ELT to clarify where decision authority feels ambiguous and what needs to be aligned with the board. The goal is not to claim authority, but to surface where uncertainty is slowing decisions or inviting second-guessing. Ask: Which decisions should stay fully with the ELT? Where is board input or approval required? Then, create a<span style="color: #0c71c3;"> <a href="https://hbr.org/2010/06/the-decision-driven-organization" rel="nofollow" style="color: #0c71c3;">simple matrix</a></span> by mapping where decision authority feels ambiguous for major decisions.</p>
<p style="text-align: justify;">— MAKE COMMITMENTS VISIBLE. As the team discusses what needs to change, use <span style="color: #0c71c3;"><a href="https://hbr.org/2024/01/what-is-active-listening" rel="nofollow" style="color: #0c71c3;">playback</a></span> to reflect what you’re hearing and reinforce alignment. People commit more readily when they feel heard, even if not every preference is adopted. Clarity, more than consensus, is what rebuilds trust.</p>
<p style="text-align: justify;"><strong>BUILD A COMMUNICATION STRUCTURE THAT KEEPS THE BOARD AT THE RIGHT ALTITUDE</strong></p>
<p style="text-align: justify;">Even with clear decision boundaries, boards may still drift into operational details when they lack confidence in how risks are being surfaced and managed between meetings. Research from <span style="color: #0c71c3;"><a href="https://www.pwc.com/us/en/services/governance-insights-center/library/effective-board-communication-strategy.html" rel="nofollow" style="color: #0c71c3;">PwC’s 2024 Corporate Directors Survey</a> </span>confirms that 74% of directors want more time for strategy. Yet when they lack a clear line of sight into how <a href="https://corpgov.law.harvard.edu/2025/10/08/effective-board-leadership-the-art-of-doing-it-well-and-the-risks-of-getting-it-wrong/" rel="nofollow">risks</a> are being managed, many compensate by pulling discussions into operational detail.</p>
<p style="text-align: justify;">Boards need visibility; leadership teams need room to execute. A deliberately designed <span style="color: #0c71c3;"><a href="https://hbr.org/2025/05/how-ceos-can-build-a-better-relationship-with-the-board" rel="nofollow" style="color: #0c71c3;">communication structure</a> </span>that covers how you prepare for, run and follow up after board interactions provides both. An effective communication structure must do three things:</p>
<p style="text-align: justify;">— SEPARATE GOVERNANCE-LEVEL SIGNAL FROM OPERATIONAL NOISE. Align on what the board needs early visibility into, what rises to the level of escalation and what stays fully with the ELT. Only issues with material business, reputational or organizational impact should warrant escalation to the board, reinforcing that the ELT is actively managing the business.</p>
<p style="text-align: justify;">— CLARIFY HOW INFORMATION MOVES THROUGH THE SYSTEM. Rather than many-to-many communication, have a <span style="color: #0c71c3;"><a href="https://www.open.edu/openlearn/science-maths-technology/engineering-technology/groups-and-teamwork/" rel="nofollow" style="color: #0c71c3;">small group of executives</a> </span>coordinate board updates (e.g., compiling data, prioritizing what rises and closing the loop with the rest of the leadership team), so decisions move forward rather than reopening in follow-up conversations.</p>
<p style="text-align: justify;">— ESTABLISH A PREDICTABLE GOVERNANCE RHYTHM. Share themes, implications and trade-offs with the board rather than operational play-by-play. That cadence supports oversight without pulling directors into day-to-day management. Make it explicit that ELT members should flag boundary breaches promptly so recurring issues can be addressed at the board level rather than left to executives alone.</p>
<p style="text-align: justify;">Board overreach is rarely intentional but usually a response to pressure, uncertainty or missing information. Leaders who diagnose what’s driving overreaching behavior, rebuild clarity with their teams and put simple communication structures in place can stop drift before it becomes dysfunction. When everyone is clear on their role, the board shifts from bottleneck to strategic partner, freeing the leadership team to lead with confidence, focus and speed.</p></div>
